1. Applicant acknowledges that they are of legal age and competency to enter into this agreement.

2. Applicant may receive a full refund on your first month's order if you notify us, in writing, within 10 days after registration. No refund will be made after 10 days. In subsequent months, you must notify us at least 5 days before your monthly renewal date to cancel your website, or no refund will be issued.

3. Applicant understands and acknowledges that this agreement is not binding unless and until it is received and accepted by XLRevShare, Inc.

4. Applicant acknowledges and agrees that they are solely responsible for determining their own business activities and that they are not an agent, employee or legal representative of XLRevShare, Inc.

5. Applicant acknowledges and agrees that they are solely responsible for paying any and all local, city, state and federal taxes.

6. This agreement may be terminated, at any time, by either party by delivering written notice via registered mail, return receipt requested. In the event that XLRevShare terminates said Agreement, no further commissions or compensation shall be paid to Applicant.

7. Applicant is not being sold a franchise or business opportunity.

8. Applicant promises to place primary emphasis on the sale of products and services to non-representative consumers as a condition of my receipt of commissions. Commissions applicant receives will be based upon fulfilling certain terms as set forth by the marketing program and compensation plans as may be amended from time to time. A $2.50 processing fee will apply to all payments.

9. Applicant shall keep accurate records and shall abide by all local, state and federal laws and regulations governing the sale or solicitation of products and services marketed by XLRevShare, Inc. including, but not limited to, any and all permits and licenses.

10. XLRevShare, Inc. shall not be liable, under any circumstances, for any damage or loss of any kind, including indirect, special, punitive compensatory or consequential damages, losses or profits which may result from any cause, including but not limited, breach of warranty, delay, act, error or omission of XLRevShare, Inc.

11. Applicant is under NO obligation to purchase any materials or literature at any time. Refunds shall not be allowed at any time. Except Montana representatives who cancel within 15 days are entitled to a 100% refund of any consideration given to participate.

12. This agreement grants applicant the limited authority to promote and sell products and services that XLRevShare, Inc. markets on behalf of companies subject to the terms and conditions established by said companies and/or XLRevShare, Inc.

13. Applicant shall not advertise or sell any products below the posted price.

14. Applicant shall not make false or misleading statements about XLRevShare, Inc. or its marketing program. Applicant shall, at all times, operate in a lawful and ethical manner and shall not engage in or perform any misleading, deceptive or unethical practices.

15. Applicant acknowledges that they are responsible for supporting the representatives that they sponsor into the program. Further, they shall maintain at least monthly communication with all active representatives that they sponsor.

16. XLRevShare, Inc. expressly reserves all proprietary rights, title and interest in and to the company name, logo, trademarks, service marks and copyrighted materials. Any and all monies paid to XLRevShare, Inc by applicant is in consideration for a non-exclusive license, during the term of this agreement, to use the proprietary marks of XLRevShare, Inc. in conjunction with the marketing program provided.

17. Applicant shall not circumvent XLRevShare, Inc. with any of it vendors or suppliers.

18. Applicant is free to select their own means, method and manners of operation as well as their own hours and location for business activities subject only to the terms and conditions herein.

19. Applicant acknowledges that they understand that XLRevShare, Inc. transacts business as a marketing agent for various businesses which provide various products and services to end customers at established rates and that those rates are subject to change, without prior notice.

20. Applicant is not guaranteed any income nor are they assured any profits or success. Applicant certifies that no claims of guaranteed profits or representations of expected earnings that might result from applicants efforts have been made by XLRevShare, Inc. or any representative or sponsor

21. Applicant may sign up as many personal customers as they so desire. For each personal customer signed, applicant will receive a commission each month from applicant’s personal customer’s purchases.

22. Applicant agrees to indemnify, defend and hold harmless XLRevShare, Inc. from any and all claims, losses, damages and expenses, arising out of applicant’s actions or conduct in violation of this agreement, the Marketing plan, the Compensation Plan or any other policy, procedure or terms of conditions of XLRevShare, Inc.

23. This agreement shall be exclusively construed and governed by the laws of the state of Arizona. Exclusive Venue and Jurisdiction for any and all disputes shall exclusively lie in Maricopa County, Arizona.

24. Applicant acknowledges and agrees that they have read and fully understand the XLRevShare, Inc. terms and conditions.

25. Applicant acknowledges and agrees that this Agreement, the Marketing Plan, the Compensation Plan and the policies and Procedures incorporated herein by this reference, constitute the entire Agreement between XLRevShare, Inc. and Applicant and shall not be modified or amended except in writing signed by XLRevShare, Inc. This Agreement shall be binding upon and inure to the benefit of heirs, successors, and permitted assigns of the parties hereto. If any portion is determined to be invalid or unenforceable in part of or in whole for any reason, the validity of the remaining provisions or portions thereof shall not be affected thereby.

26. During the term of this Agreement, and for a period of not less than one (1) year, applicant shall not solicit or recruit XLRevShare, Inc. employees or representatives, whether active or inactive, to participate in any related business activity. Violation of this provision shall result in immediate termination of all commissions and payment of any kind.
